Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the CacheGateway platform and services provided by CacheGateway LLC ("CacheGateway," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

Services Description

CacheGateway provides a Bring-Your-Own-Keys (BYOK) AI Gateway: a transparent pass-through proxy with semantic caching, cost tracking, and quota enforcement on Cloudflare's edge network. Your provider API keys (OpenAI, Anthropic, Google AI, etc.) never leave your control — we store only a hash for authentication and forward the actual key directly to the provider on each request. Our services include:

• Provider-isolated pass-through proxy (one subdomain per provider)
• Semantic caching with similarity-based response reuse
• Real-time cost tracking and usage analytics
• Per-key quota enforcement and rate limiting
• Request logging and audit trails (retention based on your plan)
• Cross-provider auto-failover (coming in V2)

Account Registration

To use our services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains current and accurate

You must be at least 18 years old to use our services. By creating an account, you represent that you meet this age requirement.

Usage and Overage

Requests above your monthly allowance are billed at $0.0005 per request. Cache hits count as 0.1 request — semantic cache reuse reduces both your latency and your quota consumption. Provider API costs (OpenAI, Anthropic, Google AI, etc.) are paid directly by you using your own keys and are NOT charged through us.

Payment Terms

Payment is required before service delivery. One-time fees are non-refundable once work has commenced. Monthly subscription fees are billed in advance and are non-refundable. You authorize us to charge your payment method for all fees incurred.

Failure to pay may result in suspension or termination of services. We reserve the right to change pricing with 30 days' notice. Price changes do not affect existing contracts.

User Data and Content

Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to the data you process through our platform
• Your use of AI models complies with all applicable laws and regulations
• Your API requests do not contain malicious code or harmful content
• You comply with all applicable data protection and privacy laws
• You have obtained necessary consents for processing user data through AI models

Our Use of Your Data

We process your API requests solely to provide gateway services and generate analytics. Request data may be logged for monitoring, debugging, and billing purposes according to your plan's retention policy. We do not train models on your data or share it with third parties except AI model providers necessary to fulfill your requests. See our Privacy Policy for detailed information.

BYOK: Bring Your Own Keys

CacheGateway operates as a transparent pass-through proxy. When you register a provider API key (e.g., your OpenAI or Anthropic key), we store only a SHA-256 hash of the key — never the plaintext key itself. On each request, the gateway hashes the incoming Authorization header, validates that hash against our database, and forwards the original (unhashed) key directly to the upstream provider. We never have the ability to read, log, or replay your provider keys outside of the single request that carries them. Customer is solely responsible for provider account standing, billing with the provider, and compliance with provider terms.

Acceptable Use Policy

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt our services or servers
• Use our services to generate harmful, abusive, or illegal content
• Reverse engineer, decompile, or attempt to extract source code from our platform
• Resell or sublicense our services without written permission
• Remove or obscure any proprietary notices or labels
• Exceed rate limits or attempt to circumvent usage restrictions
• Use our services to spam or conduct fraudulent activities

Intellectual Property Rights

Our Property

CacheGateway retains all rights, title, and interest in and to the platform, gateway infrastructure, monitoring tools, analytics algorithms, and any improvements or modifications we make. Our trademarks, logos, and brand features are protected.

Your Data and Content

You retain ownership of all data you process through our platform. You grant us a limited license to process, store, and analyze this data as necessary to provide our services during your subscription period.

Service Level and Support

We strive to maintain high availability but do not guarantee uninterrupted access. The gateway runs on Cloudflare's edge network; outages in Cloudflare or in upstream AI providers (OpenAI, Anthropic, Google AI, etc.) may degrade service in ways outside our control. Support levels by plan:

• Free: Community support (best-effort response)
• Starter / Pro: Email support (24-hour target)
• Scale: Priority support (4-hour target)

Planned maintenance will be announced in advance when possible. We are not liable for downtime due to circumstances beyond our control, including provider outages, network disruptions, or force majeure events.

Warranties and Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be error-free, secure, or meet your specific requirements. We are not responsible for the availability, performance, or outputs of third-party AI model providers accessed through our gateway. Service quality depends on many factors including provider availability and your configuration.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CACHEGATEWAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless CacheGateway and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

• Your use of our services and third-party AI models
• Your violation of these Terms
• Your violation of any third-party rights or provider terms
• Content generated through our platform using your API keys
• Your failure to comply with applicable laws and regulations

Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access immediately for violations of these Terms, non-payment, or any reason with 30 days' notice.

Upon termination, your right to use our services ceases. We may delete your data according to our data retention policy. Provisions that should survive termination (including payment obligations, warranties, and limitations of liability) will continue to apply.

Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the platform. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Wyoming, except that either party may seek injunctive relief in court to protect intellectual property rights or confidential information.

Miscellaneous

These Terms constitute the entire agreement between you and CacheGateway. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not constitute a waiver. You may not assign these Terms without our consent; we may assign them freely.
